PSC update London
Shareholder and PSC updates for London limited companies
Your company’s ownership information appears on the public Companies House register: who your shareholders are, what share capital the company has, and who your people with significant control (PSCs) are. When that information is wrong, banks, investors, buyers and Companies House itself notice.
We review your shareholder and PSC details, tell you what needs to change, and include the correct information when we file your confirmation statement. Where a change needs its own Companies House form, we explain which one and help you through it.
Shareholder and PSC updates at a glance
- Shareholders and share capital reflected on the CS01
- PSC information confirmed on every filing
- Share allotments are filed separately (SH01) within one month
- PSC changes have their own notification deadlines
Changing shareholders at Companies House
Shareholder changes usually happen in one of three ways: shares are transferred from one person to another, new shares are allotted (issued), or shares are cancelled or bought back. Each is handled differently.
A share transfer is recorded in the company’s own register of members and a stock transfer form is completed; Companies House is then updated through your next confirmation statement. New shares must be reported to Companies House on a form called an SH01 within one month of the allotment. The confirmation statement then shows your up-to-date statement of capital: the classes of shares, how many there are, their nominal value and the amount paid.
Complex share structure?
If you have several share classes, a recent share issue or ownership held through companies or trusts, choose assisted filing so we can talk it through before we file.
What is a person with significant control (PSC)?
A PSC is someone who has real influence over your company. In general that means a person who:
- owns more than 25% of the company’s shares,
- holds more than 25% of the voting rights,
- has the right to appoint or remove a majority of the directors, or
- has, or exercises, significant influence or control over the company.
Most small London companies have the director-shareholders as PSCs, but ownership through holding companies, trusts or family arrangements can make it harder to spot. Companies must keep their own PSC register and tell Companies House.
PSC deadlines and what to file
When your PSC information changes, the company must update its own PSC register within 14 days of becoming aware of the change, and then notify Companies House within a further 14 days. Each type of change, such as a new PSC, a PSC ceasing to be one, or a change of details, has its own form. Your confirmation statement then confirms that your PSC information is correct.
If you are unsure whether someone counts as a PSC, contact us or choose assisted filing and we will go through your ownership structure with you.
Directors and other officer changes
Changes to directors and company secretaries (appointments, resignations and changes of details) are reported to Companies House on separate forms, generally within 14 days. They are not part of the confirmation statement itself, but the CS01 confirms your officer details are correct. Directors must also have their identity verified. See our director ID verification page.
