Overdue confirmation statement London
Overdue confirmation statement? Get back on track today
Every London limited company must file a confirmation statement at least once every 12 months, and you have 14 days after the end of your review period to do it. If that date has passed, your confirmation statement is late.
Late filing is a criminal offence for the company and its officers, and Companies House can start the process of striking the company off the register. The good news is that you can fix it by filing.
Late filing at a glance
- Late filing is an offence
- No automatic late filing fee, but enforcement can follow
- Companies House can strike off a company that does not file
- Fix it by filing the overdue statement
What happens if you file a confirmation statement late?
Companies House expects the confirmation statement on time and monitors overdue filings. If yours is late, the company and its directors are committing an offence and may be prosecuted. Companies House can also send warning letters and, if the company still does not file, start action to strike the company off the register.
Unlike late accounts there is no automatic late filing penalty for a confirmation statement, but that does not mean you can ignore it. The longer it goes unfiled, the higher the risk of enforcement and the harder it can be to fix.
Strike-off notice? Call us now
If you have received a Companies House notice, call 0203 4411 258 and tell us your company name. We will tell you what is outstanding and how fast we can file.
Received a warning letter or Gazette notice?
If Companies House has sent you a letter about a missing confirmation statement, or you have seen a notice in the Gazette that the company may be struck off, act immediately. Filing the overdue confirmation statement, and any other overdue documents such as annual accounts, is how you stop the process. Strike-off notices are generally withdrawn once everything is brought up to date.
What if the company has already been struck off?
Once a company is struck off and dissolved, it ceases to exist and its assets can pass to the Crown. A company can often be restored to the register, either by an administrative application to Companies House or by a court order, but it is slower and more expensive than filing on time. Directors who still want the company should act as soon as possible. We can help with the filings that restoration requires; ask us for details.
How to file an overdue confirmation statement
You file it in the same way as a normal confirmation statement: confirm your company details are correct, update anything that has changed (registered office, directors, shareholders, PSCs, SIC codes and registered email), and submit the CS01 with the fee. We do all of this for you and check the record before filing. Read our confirmation statement filing service or guide for the full picture, and keep an eye on your next deadline once you are up to date.

FAQs
Late confirmation statement London FAQs
Is there a fine for a late confirmation statement?
There is no automatic late filing penalty like there is for accounts, but late filing is an offence and can lead to prosecution or strike-off.
How late can I file a confirmation statement?
You can file an overdue confirmation statement as long as the company is on the register. The sooner the better.
Can I back-date a confirmation statement?
No. You file for the review period and the filing is made on the date you submit it.
Will filing stop a strike-off notice?
Filing the overdue statement and any other overdue documents brings the company up to date and the notice is generally withdrawn.
What if my company has already been struck off?
The company may be able to be restored to the register. Contact us for guidance.
How quickly can you file?
We confirm timings when we quote, and we always tell you if a deadline is close.
Can directors be personally prosecuted?
Late filing is an offence by the company and every officer in default, so directors can be prosecuted.
Do I also need to file accounts?
Accounts are separate. If they are overdue too, they need to be filed as well.
