Quick answer
Startups: what you need to know
A startup’s first confirmation statement is due within 12 months of incorporation, plus a 14-day window to file. After that it is due every 12 months. It confirms your directors, shareholders, share capital, PSCs, registered office and SIC code are correct, and costs us £100 + VAT, Companies House fee included.
Why the first filing matters more than founders expect
Most startups are busy building the product when the first reminder email lands. But this is the filing investors, banks and accelerators check first. A clean register shows the cap table you pitch matches what Companies House holds, so we start by comparing the two.
Founder equity changes quickly: a co-founder joins, an advisor gets shares, a seed round is allotted. Each change has its own filing, and the confirmation statement is the safety net that catches anything missed. If your register is out of line with your shareholder agreement, we flag it before we file.
Startup checklist before we file
- Founders and any early shareholders listed with the correct share counts
- Statement of capital matches the shares actually issued
- Every director and PSC has completed identity verification
- Registered office is an address you can receive post at
- SIC code reflects what you actually do today, not at incorporation
SIC codes for startups
Startups often pick a placeholder code at incorporation. Common examples:
- 62012 – Business and domestic software development
- 62020 – Information technology consultancy activities
- 63120 – Web portals
- 70229 – Management consultancy activities
Common mistakes to avoid
Forgetting allotments
New shares need their own filing within one month. A seed round that was never filed shows up when you try to raise the next one.
Leaving the incorporation SIC code
Pivoted from consulting to a product? Update the code so the public record describes the business you are really running.
Missing the first deadline
The first statement falls due earlier than many founders think, because the clock starts at incorporation.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()
