Dormant company confirmation statement
Dormant company confirmation statement filing in London
Many directors believe a company that is not trading does not need to file anything. That is not the case. Every UK limited company, including a dormant company, must file a confirmation statement with Companies House at least once every 12 months, and must also file accounts.
Dormant company filing at a glance
- Dormant companies must file a confirmation statement every year
- Annual accounts are a separate filing
- SIC code 99999 is used for dormant companies
What is a dormant company?
A company is generally treated as dormant by Companies House when it has had no significant accounting transactions during the financial year. Paying the Companies House filing fee, penalties for late filing and some small administrative costs do not count as significant transactions. Dormancy for Companies House and dormancy for HMRC are different tests, so a company can be dormant for one and not the other. Speak to your accountant if you are unsure.
Starting to trade soon?
If your dormant company is about to start trading, tell us so we can update your SIC codes and check your shareholder and PSC details at the same time.
Do dormant companies need to file a confirmation statement?
Yes. Being dormant does not exempt a company from filing a confirmation statement. You must confirm your registered office, directors, shareholders, PSCs and SIC codes just like any other company, and file by your deadline. Late filing is an offence and can lead to strike-off, so see our page on a late confirmation statement if you have missed your date.
Which SIC code should a dormant company use?
Dormant companies usually use SIC code 99999, which means ‘dormant company’. When the company starts trading, change the SIC code to reflect your activities. We can do that in the same filing; see our SIC code change service.
Dormant company accounts and tax
A confirmation statement is only one part of keeping a dormant company in good standing. Dormant companies usually still need to file annual accounts with Companies House, and may need to tell HMRC about their status. Keeping these up to date helps avoid strike-off and penalties.
