All Limited Companies (Ltd) and Limited Liability Partnerships (LLP) must file a Confirmation Statement (formerly known as an Annual Return) with Companies House once every 12 months if the company or partnership is not in operation.
As the name implies, a confirmation statement attests to the fact that Companies House has current and accurate information about the business. You should still review your company’s details, even if nothing has changed, and then send a confirmation statement to Companies House to ensure everything is accurate. Although failing to file a confirmation statement on time does not automatically result in fines, your business will be removed from the company register.
The Annual Company Accounts, which are financial statements that display profit and loss, etc., should not be confused with the file Confirmation Statement. However, according to the law, both must be submitted to Companies House once a year.

Your review term and your payment period are not the same. It notifies you of the due date for your annual fee. A payment term begins on the day of incorporation and lasts for 12 months. Each payment term for older businesses lasts 12 months and concludes on the anniversary of the date on which your most recent annual return was returned. You cannot change your payment period.
When Is The Confirmation Statement Due?
14 days following the anniversary of the incorporation date or the date you filed the most recent confirmation statement.
Unlike when you fail to file company accounts, there is no automatic penalty for late filing if your confirmation statement is past due. Typically, Companies House sends out an early warning notice, telling recipients to get ready and submit a confirmation statement without doing anything more.
After receiving a warning, a confirmation statement must be completed immediately because further delays could result in legal action. Additionally, the company and its directors may be punished and found to have committed an offence.
Basic Informational Updates To File A Confirmation Statement:
